What the agent handles
Eshal Companion sits inside your document environment as a co-pilot. Lawyers ask it to review clauses, flag risks, suggest language, summarise documents, and explain provisions in plain English - all without leaving the document.
1. Definitions
In this Agreement, "Services" means the software services described in Schedule A, "Confidential Information" means any information disclosed by either party that is marked as confidential or that reasonably should be understood to be confidential, and "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets and other proprietary rights.
2. Liability Cap
Notwithstanding any other provision of this Agreement, the total aggregate liability of either party for any and all claims arising under or related to this Agreement shall not exceed AED 5,000 (five thousand UAE Dirhams), regardless of the form of action, whether in contract, tort or otherwise.
3. Termination
Either party may terminate this Agreement upon five (5) days' written notice for any reason. Upon termination, all licences granted hereunder shall immediately cease and each party shall promptly return or destroy the other party's Confidential Information.
4. Governing Law
This Agreement shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising hereunder shall be resolved by binding arbitration in New York.
5. Intellectual Property
All intellectual property created by the Service Provider in the course of providing the Services shall remain the exclusive property of the Service Provider. The Client is granted a non-exclusive, non-transferable licence to use the deliverables solely for its internal business purposes.
6. Indemnification
The Service Provider shall indemnify, defend and hold harmless the Client from any third-party claims arising from the Service Provider's wilful misconduct or gross negligence. The Client shall provide prompt written notice of any such claim.
